These are the terms and conditions for ‘Reseller’s participation in the D-Link Shop-in-shop Programme (the “Programme”).  Under the Programme, D-Link will provide marketing and financial support to Reseller related to Reseller’s purchase of D-Link products for resale.

This programme is designed exclusively for, and participation restricted to, UK based independent retailers who operate predominantly from (a) physical retail store(s).

All applications to the Programme must be made online at D-Link’s Shop-in-shop website.  Acceptance on to the Programme is entirely at D-Link’s discretion.

When Resellers sign-up to be part of the Programme they must indicate the level that they wish to participate.  This will determine the products that they must range and promote in-store as well as the benefits package that they will receive.

Shortly after applying, the Reseller will be contacted by their preferred distributor to process their initial order.  Once an order has been placed, a standard point-of-sale material pack will be dispatched by D-Link.

Any additional point-of-sale materials must be submitted via the shop-in-shop website.  These will be dispatched direct from D-Link.  The supply of point-of-sale material is subject to availability.

Only D-Link products that have been purchased from D-Link authorised distributors in the UK since joining the programme will be eligible for the rebate.  The programme member will be bound by the terms specified by its chosen distributor(s). The rebate will cover all D-Link products purchased from distribution.

To receive a rebate payment the Reseller must submit a POS report at the end of each calendar quarter (start of January, April, July, October) to marketing@dlink.co.uk. The Reseller will then be sent a PO number against which they should invoice.  Claims must be received no later than 30 days after the end of the preceding quarter.  Claims that do not follow this process will be rejected.

Any rebate paid on products that are subsequently rotated will be deducted from subsequent payments.  The payment of rebates and the payment amount is entirely at the discretion of D-Link.  

In order to move up from one level of the programme to another, reseller must purchase from distribution the additional products to fulfil the basic requirement of the new level, once the ‘upgrade’ form has been completed on the D-Link website.

D-Link or Reseller may terminate participation in the Programme without cause at any time upon thirty (30) days written notice or with cause at any time upon fifteen (15) days written notice. D-Link may also suspend the Reseller's participation in the Programme at any time if actual or potential adverse publicity or other information about Reseller, its conduct, or the products or services it provides, causes D-Link, in it sole discretion to believe that D-Link's name or reputation may be adversely affected. Neither the expiration nor earlier termination of participation in the programme shall release either party from any liability which has accrued as of the date of expiration or termination.

The programme and these terms and conditions are subject to change without notice.

Upon expiration or termination of the programme for any reason, all rights granted to Reseller hereunder shall immediately cease.

Reseller is expected and encouraged to advertise and promote the sales of D-Link products through all appropriate media.  However D-Link must approve, in advance, all materials and publicity that use D-Link name or trade marks.  D-Link will assist Reseller in advertising and promoting D-Link products in accordance with D-Link policy.

Reseller acknowledges that D-Link owns all right, title and interest in the D-Link names and logotypes; D-Link is the owner of certain other trade marks and trade names used in connection with certain product lines and software; and reseller will acquire no interest in any such trade marks or trade names by virtue of participation in this programme.

Reseller may indicate to the trade and to the public that it is an authorised reseller of D-Link products. Reseller shall make no claims and shall not imply that D-Link endorses any of Reseller's products or services or Reseller's business.

Any information or material of a confidential nature supplied by (or on behalf of) D-Link (including any information relating to its business or financial or other affairs) to Reseller are strictly confidential and will not be disclosed (in whole or in part) by Reseller to any other person without D-Link's prior written consent (except where disclosure is required by any government authority or pursuant to a court order).

This Programme is to be construed in accordance with English law.
